Terms and Conditions for the BioStefan Referral Program

1. Purpose of the referral program

Bizibits Sales GmbH (hereinafter “BioStefan” or the “Organizer”) operates a voluntary customer referral program under the BioStefan brand.

Under this program, eligible participants may personally recommend BioStefan to friends, family members, acquaintances, or other people in their immediate personal circle.

For a successful, verifiably attributable, and qualified referral, the following rewards are granted:

• The referred person: 3% off their eligible order when using a valid referral code.

• The referring person: €50 cashback for each qualified, successful referral, exclusively in the form of a refund on an existing, eligible order placed by the referring person with BioStefan.

The referral program is intended exclusively for personal recommendations. Commercial, public, automated, or paid promotion of referral codes is not permitted.

Only the following terms and conditions apply.

2. Eligibility

2.1. Eligible participants are natural persons who are at least 18 years old and can provide proof of an existing, actually paid order with BioStefan.

2.2. Participation is intended exclusively for private, non-commercial referral purposes.

2.3. The referring person must have a referral code or referral link provided or expressly authorized by BioStefan.

2.4. There is no legal entitlement to be admitted to the program or to receive a referral code. Applications may be rejected for objective reasons, particularly in cases of reasonable suspicion of misuse or failure to meet the participation requirements.

2.5. Employees of the organizer and persons directly involved in the technical or commercial administration of the program are excluded from participation unless BioStefan expressly approves an exception.

2.6. Participation and all claims arising from it are personal and non-transferable.

3. Permitted personal referrals

3.1. Sharing a referral code or referral link is permitted only as part of an individual, personal recommendation.

3.2. For example, direct recommendations to friends, family members, or acquaintances in a personal conversation or through a private message addressed individually to the person concerned are permitted, provided that contacting them is legally permissible and desired by the recipient.

3.3. Referrals must be voluntary, authentic, truthful, and transparent. The referring person must not make any false or misleading statements about BioStefan, its products, or the benefits of the referral program.

3.4. The referring person must disclose to the person being referred that they may receive a financial benefit in the form of cashback if the referral is successful.

3.5. The program does not create an employment relationship, nor a commercial agent, intermediary, agency, or other representation relationship with the organizer. The referring person is not authorized to act on behalf of BioStefan in legal transactions.

4. Expressly prohibited advertising and distribution activities

The referral program is intended exclusively for personal recommendations. Any distribution beyond this is prohibited unless BioStefan has expressly approved it in writing in advance.

The following actions are expressly prohibited:

4.1. Voucher portals and voucher networks

The following are expressly prohibited:

• publishing or sharing referral codes on voucher, discount, coupon, cashback, or deal portals;

• submitting codes to coupon databases or coupon aggregators;

• distribution through affiliate networks, cashback networks, or other commercial intermediary platforms;

• sharing them with operators of such platforms, even if publication is carried out by third parties;

• publication on platforms whose primary purpose is collecting, distributing, or making discount codes discoverable.

This prohibition includes in particular platforms such as Gutscheinsammler, Sparwelt, mydealz, and comparable services and their successor platforms.

It is irrelevant whether publication is free, paid, automated, or carried out by third parties.

4.2. Paid advertising

Any form of paid advertising to distribute referral codes or referral links is prohibited.

This includes in particular:

• Google Ads, Microsoft Ads, and other search engine advertising;

• Meta Ads, Facebook Ads, and Instagram Ads;

• TikTok Ads, YouTube Ads, Pinterest Ads, and comparable advertising formats;

• sponsored posts, paid placements, and influencer collaborations;

• paid newsletter placements;

• Retargeting, remarketing, and display advertising;

• Advertising through third parties, agencies, or commissioned persons.

The prohibition applies regardless of whether the advertising links directly to BioStefan, an intermediary page, the person’s own profile, or another website.

4.3. Public distribution

The following are expressly prohibited:

• Public posts with referral codes or referral links on social networks;

• posts in public Facebook, WhatsApp, Telegram, Discord, or similar groups, or groups accessible to larger audiences;

• posts in forums, comment sections, and public online communities;

• posts on websites, blogs, landing pages, or in publicly accessible profile descriptions;

• mass distribution through newsletters, email lists, or messaging apps;

• using bots, automated messages, or similar technical systems;

• systematically contacting unknown people for advertising purposes.

Restricted access, for example through group membership or registration, does not automatically make a post a permitted personal recommendation.

4.4. Brand misuse and misleading advertising

The following are also prohibited:

• using the BioStefan brand or confusingly similar names in paid search ads;

• registering domains or social media profiles that falsely suggest an official connection to BioStefan;

• using logos, images, or protected content without permission;

• claiming to act on behalf of or under the authority of BioStefan;

• advertising discounts or promotions that have not been approved;

• misleading claims about prices, products, effects, or performance.

4.5. Prohibition on circumvention

The prohibition also applies to indirect actions.

In particular, it is prohibited to have prohibited advertising or distribution measures carried out through third parties, or to deliberately pass codes on to people or platforms in order to circumvent the above rules.

A public post by an independent third party does not automatically result in the loss of an entitlement that has already arisen, provided the referring person neither instigated nor supported the post. Once aware of such a post, the referring person must, to the extent practically possible, seek its removal and inform BioStefan.

5. Requirements for a qualified referral

5.1. A qualified referral exists only if all of the following requirements are met:

a) The referring person is eligible to participate.

b) The referred person is a different, independent individual.

c) The referred person uses the valid referral code in the designated ordering process.

d) The order is accepted by BioStefan and paid in full.

e) The order is not canceled, fully reversed, or voided by a chargeback.

f) The order can be properly attributed to a permitted personal recommendation.

g) There is no violation of these participation terms relating to the recommendation in question.

5.2. Orders cannot generally be linked retroactively if no referral code was used beforehand. Statutory rights remain unaffected.

5.3. Only one referral code can be applied per order.

5.4. If multiple referral codes are entered, only the code actually accepted during the completed ordering process will apply.

5.5. A successful order gives rise to a final cashback entitlement only once the requirements of these terms and conditions have been met and the applicable statutory withdrawal or cancellation periods have expired.

6. Benefit for the referred person: 3% discount

6.1. When using a valid referral code, the referred person receives a 3% discount on the eligible value of the goods in their qualifying order.

6.2. The calculation is based on the value of the goods, including statutory VAT, but excluding shipping costs, payment fees, gift cards, and other non-discountable items.

6.3. The discount is shown directly during the ordering process and deducted from the amount payable.

6.4. The discount cannot subsequently be paid out in cash or by bank transfer.

6.5. Unless expressly stated otherwise during the ordering process, the referral code cannot be combined with other discount codes or similar price promotions.

6.6. The discount entitlement cannot be transferred to another person or another order.

6.7. If the order is canceled or reversed, the associated discount benefit is also forfeited. In the event of a partial return, the discount calculation will be adjusted to reflect the remaining value of the goods.

7. Benefit for the referring person: €50 cashback

7.1. For each qualified, successful referral, the referring person receives a cashback benefit of €50.

7.2. Cashback is granted exclusively as a partial or full refund of the amount actually paid for an existing eligible own order with BioStefan.

7.3. The referring person must have already placed and paid for a qualifying order with BioStefan, to which the cashback can be applied.

7.4. Cashback is not a cash reward that can be paid out freely, transferable credit, gift card, or general commission.

7.5. There is no entitlement to cashback without an existing eligible own order. Payment without such an order is excluded.

7.6. The total cashback amount is limited to the amount actually paid and not yet refunded by the referring person for their eligible own order.

Example: If the referring person paid a total of €40 for an eligible order, a maximum of €40 may be refunded. The remaining €10 will not be paid out or provided as a voucher or credit.

7.7. Multiple successful referrals may result in multiple cashback entitlements. However, the total of all refunds must not exceed the amount actually paid and not yet refunded for the referring person’s own orders included in the calculation.

7.8. The same payment amount cannot be refunded more than once.

7.9. There is no entitlement to transfer unusable cashback amounts to future orders or to third parties.

7.10. Once the requirements have been verified, the refund will generally be made using the payment method originally used for the associated order, provided this is technically possible. If a refund using that payment method is not possible, another suitable refund method may be agreed, without changing the requirements or maximum amount of the entitlement.

7.11. The refund will be issued within 30 days after the cashback entitlement has been conclusively established and the payment details required for processing have been provided or confirmed.

8. Exclusion of self-referrals and abuse

8.1. Self-referrals are not permitted. A person may not use their own referral code for their own orders to receive a cashback benefit.

8.2. Referrals to people in the same household are not permitted, nor is the use of accounts actually controlled by the referring person.

8.3. The following are prohibited in particular:

• creating sham orders;

• using false identities or artificially created customer accounts;

• deliberately splitting an order to generate cashback multiple times;

• manipulating referral attribution;

• using stolen, unlawfully obtained or misused codes;

• coordinated purchases whose sole or primary purpose is to fraudulently obtain rewards;

• systematically circumventing participation restrictions.

8.4. If there are specific indications of abuse, BioStefan may suspend the relevant referral and the resulting cashback entitlement until the matter has been reasonably clarified.

8.5. If a violation is proven, the benefits from the affected referrals will be forfeited. Refunds already granted without justification may be reclaimed in accordance with the law.

9. Cancellations, returns and chargebacks

9.1. If the referred person’s order is fully canceled, effectively withdrawn from, or fully reversed, no cashback entitlement arises for that order.

9.2. In the case of partial returns, a cashback claim remains valid only if the requirements for a qualifying order continue to be met and the program has not been misused.

9.3. If a material condition ceases to be met only after cashback has been granted, BioStefan may reclaim the amount granted improperly as provided by law.

9.4. Statutory warranty rights, rights of withdrawal, and other mandatory consumer rights remain unaffected.

9.5. A return or legitimate complaint may not be refused or made more difficult solely because a referral benefit was granted in connection with the order.

10. Review, suspension, and termination

10.1. BioStefan is entitled to verify referrals using the order and attribution data required to administer the program.

10.2. If there is reasonable suspicion of manipulation, misuse, or a significant violation of these terms and conditions, BioStefan may temporarily suspend further use of the referral code in question.

10.3. In the event of proven significant violations, particularly unauthorized posting on coupon portals, paid advertising, systematic spam, or self-referrals, BioStefan may end participation with immediate effect.

10.4. Ending participation generally does not affect claims that have arisen properly from lawful referrals. However, no claims arise from referrals obtained unlawfully or in breach of these terms and conditions.

10.5. After participation ends, referral codes and referral links may no longer be actively shared. Public or otherwise unauthorized posts controlled by the participant must be removed.

10.6. BioStefan may discontinue the referral program for the future with 14 days' notice. Immediate discontinuation is permitted for compelling legal, security-related, or significant technical reasons.

11. Changes to the terms and conditions

11.1. BioStefan may amend these terms and conditions for future referrals where there are objective reasons for doing so, particularly legal changes, technical adjustments, or changes to how the program operates.

11.2. Significant changes, particularly regarding the discount and cashback amounts or eligibility requirements, will be announced in an appropriate manner at least 14 days before they take effect.

11.3. Changes do not apply retroactively to claims that have already arisen properly.

11.4. Participants may stop using the referral program at any time without giving a reason.

11.5. Publishing new terms and conditions of participation alone does not amend existing contractual claims.

12. Data Protection

12.1. BioStefan processes personal data exclusively in accordance with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR).

12.2. As part of the referral program, data processed may include contact details, customer identifiers, order information, referral codes, and attribution and transaction data required to calculate and administer the benefits.

12.3. Data processing serves to administer the referral program, verify eligibility requirements, and prevent misuse.

12.4. Information on the specific legal bases, retention periods, recipients, and data subject rights is set out in BioStefan’s Privacy Policy.

12.5. The referring person may not disclose third parties’ personal data to BioStefan without an appropriate legal basis.

13. Liability and Statutory Rights

13.1. BioStefan is liable in accordance with statutory provisions.

13.2. Any limitation of liability for damage caused intentionally or through gross negligence, or for personal injury, is excluded.

13.3. Short-term technical disruptions do not automatically give rise to any entitlement to program benefits that would not otherwise have been properly earned. Any statutory or contractual claims that have demonstrably arisen remain unaffected.

13.4. Consumers’ statutory rights, particularly under the Consumer Protection Act (KSchG), the Distance and Off-Premises Contracts Act (FAGG), and statutory warranty provisions, remain unaffected.

14. Applicable Law and Final Provisions

14.1. Austrian law applies, excluding its conflict-of-law rules, provided this does not restrict any mandatory consumer protection provisions of the country in which a consumer has their habitual residence.

14.2. Statutory rules on jurisdiction apply to disputes. Mandatory consumer jurisdiction rules remain unaffected.

14.3. If any provision of these terms and conditions of participation is wholly or partially invalid, the remaining provisions shall remain effective to the extent permitted by law. The applicable statutory provisions shall replace any invalid provisions.

14.4. The referral program does not create any entitlement to its permanent continuation or to the provision of additional referral codes.
